BYLAWS

LOWELL DOWNTOWN NEIGHBORHOOD ASSOCIATION

Adopted February 27, 2006

Article 1 – Name

The name of this organization shall be the Lowell Downtown Neighborhood Association, also referred to as LDNA.

Article 2 – Purpose

The purpose of the Lowell Downtown Neighborhood Association is to promote awareness to the population of the citizens that live and/or work in the Downtown area of Lowell, MA. Also to discuss issues that effect the people in our community.

Article 3 – Membership

Any person shall be eligible for membership who has:
1. Legal residency located in the Downtown area of Lowell, MA
or
2. Owns/operates a business or is an active member of a non_profit organization located in the Downtown area of Lowell, MA.
Also, must have a general accord with the above_stated purpose.

Article 4 – Governance

Section I
The association shall be governed by its members and, between meetings by a Board of Directors consisting of a President, Vice_President, Secretary, and Treasurer all to be elected by the membership for the terms of one year.
Except as otherwise prescribed in regulations of the membership or of the Board of Directors, the duties of the Board the officers and committees of the association shall be those as prescribed in Robert’s Rules of Order.

Article 5 – Meetings

Regular meetings of the membership and the Board shall be held at times and places set by the Board and the membership. Special meetings, social events, public programs, etc., may be scheduled by the Board or by a committee it appoints. A quorum for the transaction of business at Board meetings shall be a majority of elected Board members.

Article 6 – Elections

Section 1. _ Officers shall assume their duties at the close of the meeting at which they are elected. Officers shall serve for a term of 1 year or until successors are elected.
Section 2. _ Vacancy in office
A vacancy in any office except president shall be filled by the Board of Directors.
Section 3. _ Duties
The duties of the officers of the organization shall be as follows:
A. The President shall
1. Serve as the presiding officer of the organization.
2. Act as the representative of the organization to the public.
3. Serve as liaison at any city meeting.
4. Make appointments if necessary to fill vacancies in offices.
5. Call special meetings when necessary.
6. Appoint subcommittees as necessary.
B. The Vice_President shall
1. Perform the duties of the president in the absence of or at the request of the president.
2. Fill the unexpired term if a vacancy occurs in the office of president.
3. Fulfill such other duties as may be assigned by the association, the Board of Directors, or the president.
C. The Secretary shall
1. Record the minutes of the association and the Board of Directors.
2. Be custodian of all documents, including association and bylaws, special orders, and standing rules.
3. Conduct correspondences as directed by the association, the Board of Directors, or the president.
4. Send a call of the meeting to each association member, which includes a copy of the previous association meeting minutes.
5. Send a copy of the minutes of the Board of Directors meeting to the Board members within 14 days of the meeting.
6. Fulfill such other duties as may be assigned by the association, the Board of Directors, or the president.
D. The Treasurer shall
1. Be custodian of all funds, disbursing them within the adopted budget.
2. Present a financial statement at each association meeting and as requested by the Board of Directors.
3. Prepare the financial records quarterly for audit by the President.
4. Fulfill such other duties as may be assigned by the association, the Board of Directors, or the president.


Amendments

Section 1. These bylaws may be amended at any regular meeting of this association by a two_thirds vote, provided the amendment has been submitted in writing at the previous regular meeting. 

Any amendment to these bylaws necessitated by amendments to LDNA bylaws shall be effected by the Board of Directors and reported to the membership at the next regular meeting following the adoption of such amendments by LDNA.


PROPOSED AMENDMENTS

Article 3 – Membership

Annual Membership dues shall be due in February at the following amounts:
$10.00 per individual with the following exceptions:
Persons ages less than 18 or more than 70 shall pay $1.00 annually.

 

Article 6 – Elections

Only members in good standing shall be granted the right to vote on a proposed motion or in officer elections.
